Terms of Service

Effective date: May 30, 2026

These Terms of Service (“Terms”) form a binding agreement between you (“you”, “Customer”) and Tellem, the back-office automation service operated by the developer of the Project Relay codebase (“Tellem”, “we”, “us”). By clicking “I Accept” or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Tellem is a back-office automation tool that helps service businesses coordinate appointments, dispatch field workers, send appointment notifications to your customers by SMS or email, and view GPS-driven arrival estimates. The Service includes the web dashboard, the FastAPI backend, and any integrations we make available (Google Calendar, OwnTracks, Telnyx, Mapbox, Resend).

2. Your Account

You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You agree to provide accurate and complete information when setting up your account and to keep that information current.

3. Customer Data You Provide

You may import or enter information about your end customers (names, phone numbers, email addresses, service addresses, appointment details) and your field workers (names, phone numbers, GPS location while on duty) into the Service.

You represent and warrant that:

  • You have collected each end customer’s prior express written consent to receive automated SMS messages from your business at the phone number you provide, in compliance with the federal Telephone Consumer Protection Act (TCPA) and any applicable state law.
  • You have provided each end customer with a clear and conspicuous disclosure that automated messages will be sent on your behalf and how they can opt out.
  • You have collected each field worker’s written consent to GPS location tracking during work hours, in compliance with applicable state employee monitoring laws.
  • You will honor opt-out requests received by you or by Tellem on your behalf (STOP/UNSUBSCRIBE keywords, email unsubscribe links, manual revocations) and will not re-contact a recipient on a channel they have asked to leave.
  • You will not import data for any individual you do not have a lawful business relationship with.

You remain the data controller for your end-customer and field-worker data. Tellem acts as your data processor under your instructions.

4. Acceptable Use

You will not use the Service to send unsolicited marketing messages, to harass, to deceive, to violate any law, or to circumvent SMS/email provider compliance policies (including Telnyx’s 10DLC requirements and any carrier rules). You will not attempt to access another account’s data, probe the Service for vulnerabilities without authorization, or interfere with the Service’s operation.

5. Alpha / Early Access Status

The Service is in alpha. It is provided “as is” and “as available” with no warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. You acknowledge that the Service may contain bugs, may be unavailable without notice, may lose data, and may change materially or be discontinued at any time. Do not rely on the Service for any business-critical purpose without an independent fallback.

A separate Early Access Agreement covers additional alpha-specific terms (feedback, confidentiality, right to revoke) and is incorporated into these Terms by reference.

6. Privacy

Our Privacy Policy describes what data we collect about you and your end users, how we use it, who we share it with, and how long we keep it. The Privacy Policy is incorporated into these Terms by reference.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Tellem will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to the Service, even if Tellem has been advised of the possibility of such damages.

Tellem’s aggregate liability arising out of or related to the Service will not exceed one hundred US dollars (US$100). You agree that this limitation is a fundamental basis of the bargain and would apply even if a remedy fails of its essential purpose.

8. Termination

Either party may terminate this agreement at any time, with or without cause, by giving written notice (email is sufficient). On termination, we will delete or return your data within a reasonable period, except as we are required to retain it by law.

9. Governing Law and Disputes

These Terms are governed by the laws of the State of New Hampshire, without regard to its conflict of laws rules. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Merrimack County, New Hampshire, and you consent to personal jurisdiction there.

10. Changes to These Terms

We may update these Terms from time to time. When we publish a new version, we will require you to re-accept the new version on your next login. Your continued use of the Service after a new version takes effect constitutes your acceptance of it.
